The present petition is filed by the Transferee Company as abovenamed in the proposed scheme of amalgamation of Navkar Broking Services Private Limited and Riddhi Trade Services Private Limited, and Transferor companies with Vishwa Realty Limited, the Transferee Company.

It has been submitted that vide order dated 10th April,2012, passed in Company Application No.153 of 2012, the meeting of the Equity Shareholders of the Company was dispensed with in view of the unanimous approval of all Equity Shareholders vide the written consent letters already placed on record. Having obtained the unanimous approval of all the Equity Shareholders, the present petition is moved for obtaining the sanction of this Court.
