Present petition is filed seeking sanction of Scheme of Amalgamation of Vini Sales And Distribution Pvt. Ltd. with Vini Cosmetics Pvt. Ltd. Earlier, the petitioner had filed Company Application No.435 of 2011 seeking dispensation of meetings of equity shareholders and unsecured creditors on the ground that consent of all the equity shareholders and unsecured creditors have been obtained and produced on record. It was reported that the petitioner company has no secured creditors. This Court vide order dated 13.09.2011 dispensed with the meetings of the equity shareholders and unsecured creditors of the petitioner company.
2. Hence, the petition is admitted.
3. Notice to the Central Government through Regional Director, ROC Bhavan, Opp. Rupal Park Society, Behind Ankur Bus Stop, Naranpura, Ahmedabad-380013.
4. Notice of hearing of petition to be published in "Indian Express" (English Daily) and "Divya Bhaskar" (Gujarati Daily) both Ahmedabad editions. Publication of notice in Government Gazette is dispensed with.
5. The final hearing of the petition is fixed on 27.12.2011.
