1. Leave to amend and substitute the certificate(s) of Chartered Accountant by placing the original certificate(s) on record as well as the consent letters.
2. Heard Mr. Sandeep Singhi, learned advocate for the Applicant Company. In this Company Application, the Applicant Company, Surya-Rath Tradelinks Private Limited, has prayed for dispensation of holding and convening meetings of the Equity shareholders and Unsecured Creditor of the Applicant Company for the purpose of considering, and if thought fit, approving with or without modification(s), the Scheme of Amalgamation of Aditya Corpex Private Limited, Ambitious Tradelinks Private Limited, Anand Trade-Movers (Gujarat) Private Limited, Hinduja Exports Private Limited, Midex Overseas Limited, Nabh Tradelink Private Limited and Surya-Rath Tradelinks Private Limited with Milestone Tradelinks Private Limited (hereinafter referred to as the 'Scheme') in view of the consent affidavits to the Scheme received from the Equity Shareholders and Unsecured Creditor of the Applicant Company and to dispense with the publication in the Gujarat Government Gazette.
3. For the present when the Equity Shareholders and Unsecured Creditor have agreed and that there are no Secured Creditors of the Applicant Company, I allow this Application for dispensation with the requirement of holding of the meetings of the Equity Shareholders and Unsecured Creditor and advertisement to be given in the newspapers. Similarly publication in the Gujarat Government Gazette is also dispensed with.
4. The Company Application accordingly stands disposed of.
