1. The present petition is filed seeking sanction of Scheme of Amalgamation of P.B.Shah and Marketing Company Private Limited and Scarlet Living Private Limited. Earlier the petitioner had filed Company Application No.216 of 2012 seeking dispensation of meeting of shareholders on the ground that consent of shareholders have been obtained and produced on record. This Court vide order dated 09.05.2012 dispensed with the meeting of the equity shareholders of the petitioner company. This being a transferee company, meeting of the creditors was ordered not to be held.

5. The final hearing of the petition is fixed on 22.06.2012.
