1. This is a petition filed by the Transferee company as abovenamed in the proposed Scheme of Amalgamation of Poggen-Amp Nagarsheth Electricals Private Limited with Posco-Poggenamp Electrical Steel Private Limited. Heard Mrs. Swati Soparkar, learned advocate for the petitioner Transferee Company.
2. It has been submitted that vide order dated 2nd May 2012, passed in Company Application No. 174 of 2012 (Copy at Annex. 'D'), meeting of the Equity Shareholders of the company was dispensed with in view of the consent letters from all of them being placed on record alongwith a certificate from the Chartered Accountant. Hence, the present petition is moved for obtaining the sanction of this court.
