1. Upon reading the application of the applicant-company by summons for direction dated 27.03.2012, upon hearing Mr.Navin Pahwa, learned counsel appearing for Ms.S.N. Pahwa for the applicant-company, upon perusing and considering the contents of the affidavit filed by Mr.Girish B. Shah, the authorised signatory of the applicant-company and upon perusing relevant exhibits, it is ordered:

That the meeting of the equity shareholders (2 in number) of the company is hereby dispensed with, considering the certificate issued by the Chartered Accountant, Munir Shah & Associates as well as the consent of all the 2 equity shareholders, who are representing 100% of the shareholding, at Annexures-E and D collectively.
3. On perusal of the certificate at Annexure-E to this application as well as on perusal of the affidavit filed by Mr.Girish Shah, the applicant-company being transferor company, has no creditors and, therefore, also meeting of the creditors is not required.
4. With the above direction, this Company Application is disposed of. No order as to costs.
