1. The present Company Petition is filed seeking sanction of the Scheme of Arrangement in the nature of Re-Organization of Share Capital and arrangement for Revival of India Infraspace Limited.
2. Heard, the learned advocate appearing on behalf of the petitioner. It is submitted that the petitioner had earlier filed Company Application No.156 of 2012 seeking directions to convene meetings of equity shareholders and unsecured creditors on 09.05.2012. It was reported that there are no secured creditors. This Court vide order dated 16.04.2012 made in Company Application No.156 of 2012 directed convening of the meetings of the equity shareholders and unsecured creditors of the petitioner to be held on 09.05.2012. This Court appointed Shri Mr.Umesh Joshi, Director and failing him Mr.Vishnu Chauhan, Director as Chairman of the meetings.

The petitioner has placed on record a copy of both the Chairman Report dated 09.05.2012 made by Shri Umesh Joshi, Director in respect of the meetings of the equity shareholders and Unsecured Creditors. A perusal of both the Chairman Reports in respect of meetings of the Equity Shareholders and Unsecured Creditors of the petitioner suggests that the Scheme of Arrangement has been approved unanimously by all the Shareholders and Unsecured Creditors of the petitioner company present in the meeting in person or through proxy. The Scheme thus has been approved unanimously by the Shareholders and Unsecured Creditors of the petitioner company.

6. Notice of hearing of petition to be published in Indian Express (English Daily) and Lok-Satta Jan-Satta (Gujarati Daily) both having its circulation in Ahmedabad. Publication of notice in Government Gazette is dispensed with.
7. The final hearing of the petition is fixed on 22.06.2012.
