1. This is a petition filed by the transferee company as above named in the proposed scheme of amalgamation of Hazira Gas Private Limited with Hazira LNG Private Limited.
2. Heard Mrs. Swati Soparkar, learned advocate for the petitioner transferor company.
3. It has been submitted that vide order dated 11.1.2012 passed in Company Application No.5 of 2012 (Copy at annexure-'D'), meeting of the equity shareholders of the company was dispensed with in view of the approval to the scheme, obtained from all the equity shareholders of the company in form of written consent letters and all of them being placed on record, along with a certificate from the chartered accountant. Hence, present petition is moved for obtaining the sanction of this Court.

6. To be advertised in "Indian Express", English daily and "Sandesh", Gujarati daily, Ahmedabad editions. Publication in government gazette is dispensed with.
