1. The present petition is filed seeking sanction of Scheme of Amalgamation of Metroof India Pvt. Ltd., United Bristlers and Brushes Pvt. Ltd., Lazer Brushes Pvt.Ltd., Great Nutrition Foods Pvt.Ltd. with Gujarat Nippon Enterprises Pvt.Ltd.
2. Earlier, the petitioner has filed Company Application No.178 of 2012 seeking dispensation of meeting of shareholders on the ground that consent of equity shareholders and preference shareholders have been obtained and produced on record. This Court vide order dated 27.04.2012, dispensed with the meeting of the Equity Shareholders and Preference Shareholders of the petitioner-Company. This being a Transferee Company, meeting of the creditors was ordered not to be held.
