1. The present petition is filed seeking sanction of Scheme of Amalgamation of Metroof India Pvt. Ltd., United Bristlers and Brushes Pvt. Ltd., Lazer Brushes Pvt. Ltd., Great Nutrition Foods Pvt. Ltd. with Gujarat Nippon Enterprises Pvt. Ltd.
2. Earlier, the petitioner has filed Company Application No.182 of 2012 seeking dispensation of meeting of shareholders and unsecured creditors on the ground that consent of shareholders and unsecured creditors have been obtained and produced on record. This Court vide order dated 27.04.2012, dispensed with the meeting of the shareholders and unsecured creditors of the petitioner-Company.

4. Notice to the Central Government through Regional Director, ROC Bhavan, Opp.Rupal Park Society, Behind Ankur Bus Stop, Naranpura, Ahmedabad - 380013. Notice is also directed to be issued upon the Official Liquidator with direction to appoint Chartered Accountant for preparation and submission of report at the cost of the petitioner.
5. Notice of hearing of petition to be published in Indian Express (English daily) and Lok-Satta Jan-Satta (Gujarati Daily) both having its circulation in Ahmedabad Editions. Publication of notice in Government gazette is dispensed with.
6. The final hearing of the petition is fixed on 22.06.2012.
