1. The present petition is filed seeking sanction of scheme of amalgamation of Bhagwati Pyrotech Private Limited with Bhagwati Spherocast Private Limited. Earlier, the petitioner had filed company application No.571 of 2011 seeking dispensation of meeting of shareholders on the ground that consent of all the shareholders have been obtained and produced on record. This Court vide order dated 22.12.2011 dispensed with the meeting of the shareholders of the petitioner company. This being a transferee company meeting of the creditors was ordered not to be held.
