(1) Applicant
- Vishwa Realty Limited in this application is the Transferee Company, which proposes to enter into an arrangement in the nature of Scheme of Amalgamation of Navkar Broking Services Private Limited and Riddhi Trade Services Private Limited, the Transferor Companies, the applicant in Company Application Nos.151 and 152 of 2012 with Vishwa Realty Limited, the Transferee Company, the applicant in Company Application No.153 of 2012.
(2) The applicant Company is a public limited company and belongs to the same group of management. It is engaged in the business of real estate. Both the Transferor Companies are engaged into investment activities providing finance directly and indirectly for the real estate projects and earn interest income. The amalgamation is proposed to consolidate the activities of all the entities and achieve synergies.
(3) Upon the application of the above-named Company by summons for direction dated 9.4.2012 and upon hearing Ms. Vaibhavi Parikh, learned advocate for the applicant Company and upon perusing and considering the contents of the affidavit of Mr. Rupen M. Mody, the authorised signatory of the applicant Company and upon perusing the relevant exhibits, it is ordered that the meeting of the equity shareholders (8 in number) of the applicant Company is hereby dispensed with considering the affidavit filed by Rupen M. Mody and considering the certificate issued by R.A. Shah Associates, Chartered Accountant dated 10.2.2012 (Annexure-E) as well as the consent letters (Annexure-D Colly.) separately produced.
(4) With the above direction, the Company Application is disposed of with no order as to costs.
