1. The present petition is filed by the transferee company as abovenamed in the proposed Scheme of Amalgamation of V3 Industries Private Limited with Rachna Art Prints Private Limited.
2. Heard Mrs.S.N. Pahwa, learned counsel appearing for the petitioner-company.
3. It has been submitted that vide order dated 28.03.2012 passed in Company Application No.118 of 2012 (Annexure 'D', Pg.90-91), meetings of Equity Shareholders of the petitioner-company were dispensed with in view of the consent letters from all of them being placed on record along with a certificate from the Chartered Accountant.
4. Hence, the present petition is moved for obtaining sanction of this Court.
5. The petitioner being transferee company, meeting of the creditors was ordered not to be held.

7. Notice of hearing of the petition to be advertised in 'Indian Express'-English Daily and in 'Gujarat Mitra'-Gujarati Daily, both Surat Editions. Publication of notice in the Government Gazette is dispensed with.
8. Notice to the Central Government through the Regional Director (North Western Region, Ministry of Company Affairs) having his office at ROC Bhavan, Opp.Rupal Park Society, Behind Ankur Bus Stop, Naranpura, Ahmedabad.
